Automatic Acceptance of Terms
By downloading, installing, accessing, or using ShareLync in any way, you automatically agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these terms, you must immediately uninstall the app and cease all use of the service.
Critical Notice Regarding Data Recovery
ShareLync uses end-to-end encryption with a Zero-Knowledge architecture. If you delete your profile, lose your unique link, or forget your profile slug, your data is gone forever. We do not store your decryption keys and cannot recover your account under any circumstances. By using this service, you acknowledge and accept this risk.
1. Acceptance of Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and ShareLync ("Company", "we", "us", or "our").
By using ShareLync, you confirm that:
- You are at least 18 years of age
- You have the legal capacity to enter into this agreement
- You will use the service only for lawful biodata sharing purposes
- All information you provide is accurate and truthful
- You accept our Privacy Policy in its entirety
2. Description of Service
ShareLync is a privacy-first platform that allows users to:
The Service acts as a neutral conduit for encrypted data sharing. We do not facilitate introductions or guarantee any outcomes.
3. User Account & Registration
- Account Verification: You may sign in using a phone number (with SMS one-time code), a Google account, or an Apple ID. Whichever method you choose, the corresponding identifier (phone, email, or Apple ID) will be associated with your account and used to verify your identity for sensitive operations such as account deletion.
- One Account Per Identity: You may only create one ShareLync account per identifier. Creating multiple accounts using the same phone number, email, or Apple ID is prohibited. ShareLync does NOT link accounts created across different sign-in methods — if you sign up with a phone number and later sign in with Google using a different identity, you will receive a new, separate account. To recover an existing account, sign in with the same method you originally used or paste your share link to restore your profile on a new device.
- Account Security: You are responsible for maintaining the security of your account and the confidentiality of your profile link/slug.
- Accurate Information: You agree to provide accurate, current, and complete information during registration and profile creation.
4. User Responsibilities
- Content Accuracy: You are solely responsible for the accuracy of the bio-data you upload. ShareLync is not liable for mismatches, misrepresentations, or false claims made in profiles.
- Link Management: Your profile link grants access to view your profile. You are responsible for who you share this link with. If you share it publicly (e.g., on social media or WhatsApp groups), anyone with the link can view your profile.
- Slug Recovery: If you lose access to your profile slug and need to recover your account on a new device, you must have your original shared link. We cannot recover your slug for you.
- Legitimate Use: You agree to use this Service only for lawful biodata sharing purposes and not for spam, harassment, commercial solicitation, or illegal activities.
5. Prohibited Content & Conduct
You may not use ShareLync to upload, share, or transmit:
*While we cannot read encrypted content, we reserve the right to suspend or terminate accounts based on metadata analysis (e.g., rapid profile creation indicating spam), valid user reports, or violations detected through other means.
6. Profile Visibility & Sharing
- Live/Offline Status: You can toggle your profile between "Live" (visible via link) and "Offline" (link deactivated) at any time.
- View Counts: We track how many times your profile link has been accessed. This count is visible only to you.
- No Guaranteed Privacy Once Shared: Once you share your link with someone, they may screenshot, copy, or further share your profile information. We have no control over what recipients do with your data after viewing.
7. Family Hub & Hub Owner Responsibilities
Family Hub is an optional feature in which one ShareLync user (a “Hub Owner”) invites other ShareLync users (“Hub Members”) to add their biodatas to a portal the Hub Owner manages. Hub Owners and Hub Members are independent ShareLync users. ShareLync provides the technical platform; it does not endorse, employ, or act as agent for any Hub Owner.
If you are a Hub Owner, you agree that:
- You will not include personal identifiers (phone numbers, addresses, financial information, government IDs) in invite text or notes. Invite documents are technically readable by anyone with the invite link; including such information places that data at risk.
- You will use the information you receive (Hub Member names, photos, locations, professions) only for the introduction purposes for which the Hub Member consented. You will not resell, scrape, redistribute, or use it for marketing, employment screening, or any unrelated purpose.
- You will not use Family Hub to harass, defame, intimidate, or coerce any person. You will not post Hub Member information publicly, share it on broadcast channels, or republish it without the Hub Member's separate consent.
- You are responsible for any communications you initiate with Hub Members or third parties about a Hub Member's biodata. ShareLync is not a party to those communications and does not endorse them.
- You will respect a Hub Member's decision to leave your hub. When a Hub Member leaves, you must stop using and stop further sharing the information you received about them.
If you are a Hub Member:
- Your consent is required before your biodata enters any Hub Owner's portal. You will see who is inviting you and what they will see about you on the invite landing page before you confirm.
- You can leave a Family Hub at any time from your dashboard. The Hub Owner stops seeing your biodata immediately.
- Deleting your ShareLync profile automatically removes you from any Family Hubs you joined and invalidates the corresponding invite.
ShareLync's role:
- Neutral platform. ShareLync provides the invite mechanism, the consent capture surface, and the storage layer. ShareLync does not introduce, match, broker, or facilitate marriage between any persons, and is not responsible for the outcomes of any introduction made by a Hub Owner.
- No verification of Hub Owners. ShareLync does not verify the identity, intentions, or trustworthiness of any Hub Owner. Hub Members are responsible for evaluating whether to accept an invite from a particular Hub Owner.
- Right to remove. ShareLync may suspend or remove any Hub Owner who violates these Terms (including Section 5, Prohibited Content & Conduct) without prior notice.
8. AI-Powered Profile Creation
ShareLync offers an optional feature that uses artificial intelligence to extract information from uploaded biodata documents (PDFs or images) to automate profile creation.
- Third-Party AI Processing: Uploaded documents are processed by Google Gemini AI via API. By using this feature, you consent to your document being sent to Google's servers for text extraction and field mapping.
- No AI Training: Your uploaded documents and extracted data are not used to train, improve, or fine-tune any AI models. Processing is governed by Google's Gemini API Terms of Service.
- Temporary Storage Only: Uploaded documents are stored on our servers for a maximum of 30 seconds during processing and are automatically deleted thereafter. No copies are retained.
- User Review Required: All AI-extracted information is presented to you for review and editing before being saved to your profile. You are responsible for verifying the accuracy of the extracted data.
- Optional Feature: AI-powered profile creation is entirely optional. You may choose to fill in your profile manually instead.
9. Intellectual Property
Your Content: You retain full ownership of the bio-data, photos, and other content you upload. By using ShareLync, you grant us a limited, non-exclusive license to:
- Host and store your encrypted data on our servers
- Transmit your data to authorized recipients (those with your link)
- Process your data as necessary to provide the Service
Our IP: The ShareLync brand, logo, app design, code, algorithms, and underlying technology are owned by ShareLync and protected by intellectual property laws. You may not:
- Reverse engineer, decompile, or disassemble the application
- Copy, modify, or create derivative works
- Use our branding without written permission
- Scrape or data-mine the platform
10. Fees, Subscriptions & Payments
10.1 The consumer ShareLync application is free of charge.
Use of the consumer ShareLync mobile and web applications — creating a biodata, sharing it via a link, receiving biodatas, and the Family Hub member experience — is provided to you free of charge and at no monetary cost. We may introduce paid features within the consumer application in the future; if and when we do, any new fees will be clearly disclosed before you are asked to pay them, and existing free functionality will remain available unless we provide reasonable advance notice to the contrary.
10.2 The Introductions Hub Owner product is or may become a paid subscription service.
ShareLync separately offers the Introductions Hub Owner customer relationship management product at hub.sharelync.app on a tiered subscription basis (the “Hub Owner Subscription”). The Hub Owner Subscription is a distinct service offered to a separate audience (community helpers and professional introduction practitioners) and is governed by these Terms together with any plan-specific terms presented to you at the time of subscription. The following provisions of this Section 10 apply specifically to the Hub Owner Subscription.
As of the “Last Updated” date above, the Hub Owner Subscription is in a private pilot phase in which selected customers may receive complimentary access for a limited period. Once the public launch of the Hub Owner Subscription commences, the published price, payment cadence, and plan inclusions will be presented to you on the pricing page and within your Hub Owner account before you are charged. By accepting an invitation to become a Hub Owner and by claiming a Hub Owner account, you acknowledge that the Hub Owner product is a commercial service intended to be offered for a fee, and that ShareLync reserves the unilateral right to begin charging for, modify the price of, or restructure the Hub Owner Subscription at any time, subject only to the notice and refund provisions set out below.
10.3 Pricing, currency, and tax.
- The price of each plan, the billing currency (typically Indian Rupees / INR), and the period to which the price applies (typically calendar month or year) are stated on the pricing surface presented to you at the time of subscription.
- All prices are exclusive of applicable taxes. Goods and Services Tax (GST) and any other applicable indirect taxes, duties, levies, or charges will be added to the price at the rate prevailing on the date of issue of the invoice and remitted to the relevant authority.
- Where ShareLync is required by law to withhold or deduct any tax from a payment made to it, the amount otherwise payable shall be grossed up such that ShareLync receives, net of the deduction, the amount it would have received in the absence of the deduction.
10.4 Payment processing — Razorpay.
Payments for the Hub Owner Subscription are processed by Razorpay Software Private Limited, an entity authorised by the Reserve Bank of India to act as a Payment Aggregator. When you initiate a payment, you are taken to Razorpay's hosted checkout, on which you enter your payment instrument details (card / UPI / netbanking / wallet). ShareLync does not see, collect, or store your payment instrument credentials. Razorpay returns to ShareLync only the transaction status, a transaction identifier, and the masked summary of the instrument (e.g., “UPI — user@bank” or “Visa ending 4242”). The collection, use, and security of your payment instrument data is governed by Razorpay's terms and privacy policy, available at razorpay.com.
10.5 Recurring billing and authorisation.
- If you subscribe to a recurring plan, you expressly authorise ShareLync, through Razorpay, to charge your payment instrument on each billing date (whether monthly or annual) for the then-current price of the plan plus applicable taxes, until you cancel.
- Where the recurring debit requires a mandate or e-mandate under RBI guidelines, you authorise the creation and execution of such mandate on the terms presented to you at the time of subscription, and acknowledge that the bank may notify you of upcoming debits in accordance with applicable banking regulations.
- If a recurring charge fails for any reason (insufficient balance, expired card, mandate revocation, bank decline, network failure), ShareLync may, at its option, (i) attempt the charge again over a period of up to seven (7) calendar days, (ii) downgrade your account to the Free tier with reduced functionality, or (iii) suspend your account in accordance with Section 10.8 below.
10.6 Cancellation by you.
- You may cancel the Hub Owner Subscription at any time from the billing surface inside your Hub Owner account, or by writing to contact@sharelync.app.
- Cancellation takes effect at the end of the then-current billing period. You retain access to paid features through the end of that period, after which your account reverts to the Free tier (or, if no Free tier exists, becomes read-only for thirty (30) days before scheduled deletion).
- No partial-period refunds. Except as required by applicable law, fees already paid for the then-current billing period are non-refundable. Annual plans are non-refundable except where required by applicable consumer-protection law.
10.7 Refunds and disputed charges.
- Discretionary refunds. ShareLync may, in its reasonable discretion, refund fees on a pro-rata or full basis where (a) ShareLync determines that a material service-affecting fault was caused by ShareLync and was not remedied within a reasonable time, or (b) the refund is required by applicable consumer-protection law. All refunds, when made, are made through the original Razorpay payment instrument used for the charge.
- Chargebacks. If you dispute a charge with your bank or card network without first contacting us and giving us a reasonable opportunity to resolve the matter, we reserve the right to (a) suspend your account pending resolution, (b) recover the disputed amount plus any chargeback fees imposed by Razorpay or the card network, and (c) require future payments by means other than the disputed instrument.
- Trial periods. Where a free trial is offered, the trial converts to a paid subscription at the end of the stated trial period unless you cancel before the trial ends. The conversion price will be presented to you at the time of trial enrolment.
10.8 Non-payment, suspension and account closure.
- If a charge fails and is not remedied within seven (7) days following the first failed attempt, ShareLync may suspend your Hub Owner account. Suspension means you and your Helpers (if any) lose write access to the Hub, but the data remains preserved and read-only for a further thirty (30) days.
- If the failure is not remedied within ninety (90) days from the first failed attempt, ShareLync may close the Hub Owner account in accordance with Section 11 (Termination). Closure does not relieve you of liability for fees due up to the date of closure.
- You may at any time during the suspension or read-only period export your data in accordance with the rights described in our Privacy Policy.
10.9 Right to modify pricing.
- ShareLync may modify the prices, plan inclusions, or fee structure of the Hub Owner Subscription at any time. Any modification that increases the price you pay or materially reduces the inclusions of your plan shall take effect not earlier than thirty (30) days after we notify you (by email to your registered address or by in-product notice).
- Modifications that benefit you (price reductions, expanded inclusions, new features at no additional cost) may take effect with shorter notice or immediately.
- If you do not accept a notified price increase or material change, you may cancel your subscription before the modification takes effect, in which case the modification will not apply to you and your access will end at the close of the then-current billing period.
10.10 Custom plans and enterprise arrangements.
Hub Owners requiring features beyond the published plans, larger Helper allocations, or custom commercial arrangements may negotiate a written addendum with ShareLync. Any such addendum, when signed by both parties, supplements but does not supersede these Terms, and prevails over inconsistent provisions of these Terms only to the extent expressly stated in the addendum.
10.11 No outcome guarantee.
Subscription fees buy you access to the Introductions software platform — nothing more. ShareLync does not guarantee, and has not represented, that subscribing will (i) result in any specific number of introductions made, accepted, or completed; (ii) result in any specific number of engagements or marriages; (iii) result in any specific volume of inbound enquiries, leads, or customers; (iv) reduce the time, effort, or skill required to perform your introduction practice; or (v) achieve any specific business, financial, or personal outcome whatsoever. The success of your introduction practice depends on your own judgement, network, and effort. Subscription fees are not refundable on the basis that the software did not produce a particular outcome.
10A. Introductions — Additional Hub Owner Commercial Terms
In addition to Section 7 (general Hub Owner responsibilities), the following commercial terms apply to your use of the paid (or pilot) Introductions Hub Owner product. To the extent of any conflict between Section 7 and this Section 10A, this Section 10A prevails for paying Hub Owners.
10A.1 Joint Data Fiduciary acknowledgement (DPDPA Section 2(i)).
You acknowledge and agree that, in respect of the personal data of candidates and families that you collect, store, organise, transcribe, share, or otherwise process within your Hub (including private notes, share-log entries, pairings, and any information you import from external sources such as PDFs, spreadsheets, or WhatsApp threads), you are an independent Data Fiduciary under the Digital Personal Data Protection Act, 2023, and ShareLync acts solely as your Data Processor under Section 8(2). Without limiting the generality of the foregoing, you specifically agree that:
- You will obtain, record, and be able to evidence on demand the affirmative consent (DPDPA Section 6) of each Data Principal whose personal data you cause to be processed via the Hub, except where you have an alternative lawful basis under DPDPA Section 7.
- You will honour, within the timelines prescribed by the DPDPA, every request received from a Data Principal in relation to data you hold about them (access, correction, completion, updating, erasure, nomination, and grievance redressal).
- You will not use the Hub to process personal data of any child (individual under 18 years of age) for any purpose, save as expressly permitted by DPDPA Section 9 and rules thereunder.
- You will not process “significant” personal data fiduciary-level volumes (DPDPA Section 10) without notifying ShareLync in advance so that the parties may agree on additional safeguards.
- You will indemnify ShareLync in accordance with Section 14 of these Terms for any claim, demand, regulatory action, or third-party action arising from your breach of the obligations in this Section 10A.
10A.2 ShareLync as Data Processor — instructions and assistance.
ShareLync will process personal data on your behalf only as required for the provision of the Hub Owner service and on your documented instructions (which, for the avoidance of doubt, include the standing instructions implicit in your use of the user interface). ShareLync will: (a) assist you in responding to Data Principal rights requests through the tools made available to you (export, member removal, consent-record tombstoning); (b) make available the information necessary for you to demonstrate compliance with the DPDPA in respect of data held in the Hub; and (c) notify you without undue delay of any personal data breach affecting your Hub, as required under DPDPA Section 8(6) and our internal incident-response procedure described in our Privacy Policy.
10A.3 ShareLync is not an introduction or matchmaking service.
ShareLync is a software platform. ShareLync does not introduce candidates to families, recommend candidates, broker introductions, certify the suitability of any candidate or family, conduct background checks, verify horoscopes, or in any way undertake the practice of arranging marriages. Any introduction made through the Hub is made solely by you, the Hub Owner, on the basis of your own judgement. You alone are responsible for the conduct, accuracy, suitability, lawfulness, and consequences of every introduction you facilitate. You will not represent to any candidate, family, or third party that ShareLync has endorsed, approved, recommended, or verified any introduction, candidate, family, or outcome.
10A.4 Permitted use of platform tools.
- You will use the WhatsApp share feature only to send communications to candidates or families with whom you have a pre-existing relationship and from whom you have at least the implied consent of the receiving family to receive such communications.
- You will not use bulk-share functionality to broadcast a single biodata to recipients without the candidate's knowledge of the recipient list.
- You will not use the Hub to compile, sell, or distribute lists of candidates' personal data to third parties, marketing agencies, or competing services.
- You will not attempt to extract data from the Hub by means other than the export tools we provide (no scraping, automated extraction, or screen-recording for redistribution).
10A.5 Helpers — your responsibility for them.
If you invite a Helper to access your Hub, you are responsible for ensuring that the Helper complies with these Terms (including Section 5 (Prohibited Content & Conduct), Section 7, and this Section 10A) in respect of all actions they perform within your Hub. You acknowledge that any action a Helper takes is binding on you as if you had taken it yourself, and you are jointly and severally liable with the Helper for any breach. You will revoke a Helper's access immediately if you become aware of or suspect any breach.
10A.6 Subscription is non-transferable.
The Hub Owner Subscription is granted to you personally and may not be transferred, assigned, sold, or otherwise made available to any other person without ShareLync's prior written consent. Each Hub Owner account corresponds to one identifiable natural person; account-sharing between multiple individuals is prohibited (this is what Helpers exist for — see Section 10A.5).
10A.7 Termination — effect on data.
On termination of the Hub Owner Subscription, ShareLync will: (a) preserve your data in read-only state for thirty (30) days, during which you may export it; (b) on expiry of the 30-day window, permanently erase the substantive Hub Owner records in accordance with the retention schedule in our Privacy Policy; (c) retain billing records and audit-trail entries for the longer periods stated in our Privacy Policy where required by tax or DPDPA compliance; (d) tombstone (but not hard-delete) consent records that demonstrate your members' affirmative consent, for three (3) years from termination as required under DPDPA Section 11 read with the DPB Rules.
11. Termination
By You: You may delete your account at any time through Settings → Delete Account in the mobile app, or via our website at sharelync.app/delete-data. To protect your privacy, we re-verify your identity before deletion using the same sign-in method you originally used (phone OTP, Google, or Apple). Once confirmed, deletion is permanent and immediate — your encrypted profile data, photos, authentication record, and any associated cards or shared links are erased from our servers.
By Us: We reserve the right to suspend or terminate your account if you:
- Violate these Terms of Service
- Engage in prohibited conduct
- Use the platform for illegal purposes
- Create multiple accounts
- Attempt to abuse or exploit the system
Upon termination, your access to the Service will cease, and any data associated with your account may be deleted.
12. Disclaimer of Warranties
Read Carefully
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE (INCLUDING ALL FEATURES, CONTENT, SOFTWARE, AND DATA MADE AVAILABLE THROUGH IT) IS PROVIDED "AS IS", "AS AVAILABLE", AND "WITH ALL FAULTS" WITHOUT WARRANTIES OR REPRESENTATIONS OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO:
- IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY, COMPLETENESS, OR NON-INFRINGEMENT;
- WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, ERROR-FREE, SECURE, FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT DEFECTS WILL BE CORRECTED;
- WARRANTIES ARISING FROM A COURSE OF DEALING, COURSE OF PERFORMANCE, OR USAGE OF TRADE.
NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM SHARELYNC OR THROUGH THE SERVICE SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS. WE DO NOT GUARANTEE ANY SPECIFIC OUTCOME, INCLUDING ANY ENGAGEMENT, MARRIAGE, INTRODUCTION, MATCH, RESPONSE, REVENUE, CUSTOMER, OR OTHER BUSINESS RESULT, FROM USING THE SERVICE.
Some jurisdictions do not permit the exclusion of implied warranties; in those jurisdictions the foregoing exclusions apply to you only to the extent permitted by law, and the duration of any non-excludable implied warranty is limited to the minimum permitted by law.
13. Limitation of Liability
13.1 Exclusion of indirect damages. To the maximum extent permitted by applicable law, in no event shall ShareLync (including its proprietors, founders, officers, directors, employees, contractors, agents, suppliers, or licensors) be liable to you or to any third party for any:
- Indirect, incidental, special, consequential, punitive, exemplary, or aggravated damages;
- Loss of profits, revenue, business opportunity, savings, goodwill, reputation, or anticipated savings;
- Loss, corruption, or unauthorised disclosure of data (including loss arising from your inability to recover an encrypted profile after losing your share link);
- Damages resulting from your sharing of a profile link, invite, or other access token with a third party;
- Damages resulting from the conduct, content, or representations of any other user, Hub Owner, Hub Member, or third party;
- Damages resulting from the failure, suspension, modification, or discontinuation of the Service or any feature thereof, or from any maintenance window or outage;
- Damages resulting from any outcome (including any introduction, engagement, marriage, separation, or family dispute) resulting from biodata you have created, received, or shared via the Service;
- Damages arising from any act or omission of Razorpay, Meta, Google, Apple, or any other third-party processor identified in our Privacy Policy.
The exclusions in this Section apply whether the alleged liability is based on contract, tort (including negligence), strict liability, statute, or any other legal theory, and whether or not ShareLync has been advised of the possibility of such damages.
13.2 Aggregate cap on liability. Without limiting Section 13.1, the total aggregate liability of ShareLync to you under or in connection with these Terms or the Service, however arising, shall not exceed the greater of (a) the total fees paid by you to ShareLync in the twelve (12) months immediately preceding the event giving rise to the claim; or (b) INR five thousand (₹5,000). For users of the free consumer ShareLync application who have paid no fees, ShareLync's aggregate liability is limited to INR five thousand (₹5,000) per claim and across all claims in aggregate.
13.3 No exclusion of mandatory liability. Nothing in these Terms excludes or limits the liability of ShareLync for (i) death or personal injury caused by its negligence; (ii) fraud or fraudulent misrepresentation; (iii) any liability that cannot lawfully be excluded or limited under applicable law.
13.4 Basis of the bargain. You acknowledge that the limitations and exclusions in Sections 12 and 13 are an essential element of the bargain between you and ShareLync, that the fees charged (if any) reflect those allocations of risk, and that ShareLync would not be able to offer the Service on the present commercial basis without these limitations.
14. Indemnification
You agree to indemnify, defend, and hold harmless ShareLync and its affiliates from any claims, damages, losses, or expenses (including legal fees) arising from:
- Your use of the Service
- Your violation of these Terms
- Your violation of any third-party rights
- Content you upload or share
- Your interactions with other users
- Your conduct as a Hub Owner, including any misuse, redistribution, or unauthorized communication of information you received about Hub Members in your Family Hub (see Section 7)
15. Dispute Resolution
Informal Resolution: Before filing any formal complaint, you agree to contact us at admin@sharelync.app and attempt to resolve the dispute informally within 30 days.
Arbitration: Any disputes that cannot be resolved informally shall be settled by binding arbitration in accordance with the Arbitration and Conciliation Act, 1996 of India. The arbitration shall be conducted in English, and the seat of arbitration shall be Pune, Maharashtra, India.
16. Governing Law & Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of India, without regard to conflict of law principles. Any disputes arising from these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts in Pune, Maharashtra, India.
17. Changes to Terms
We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to the app or website. We will notify users of material changes via:
- In-app notification
- Email notification (if provided)
- Prominent notice on this page
Your continued use of the Service after any changes constitutes acceptance of the modified Terms.
18. Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.
19. Entire Agreement
These Terms, together with our Privacy Policy and any plan-specific terms or written addenda presented to you, constitute the entire agreement between you and ShareLync regarding the Service and supersede all prior agreements, understandings, representations, and communications, whether written or oral. No statement, promise, or representation made by any sales, support, or other representative of ShareLync that is not reflected in these Terms (or in a written addendum signed by both parties) shall be binding on ShareLync.
20. Service Modifications, Beta Features & Discontinuation
20.1 Modifications to features. ShareLync may, at any time and from time to time, add, modify, replace, or discontinue any feature, functionality, content, or other aspect of the Service. Where a modification materially reduces the inclusions of a paid plan, the price-modification notice procedure in Section 10.9 applies and you may cancel the affected subscription before the modification takes effect. Where a modification is to a free feature, ShareLync will provide reasonable notice where practicable.
20.2 Beta and experimental features. Some features may be designated as “beta”, “experimental”, “preview”, or “pilot”. Such features are provided for evaluation purposes only, may be unstable, may be modified or withdrawn at any time without notice, and are excluded from any service-level commitment ShareLync may otherwise make. ShareLync has no liability arising from your use of a beta feature beyond the limitations otherwise stated in Sections 12 and 13.
20.3 Discontinuation of the Service. ShareLync may discontinue the Service in whole or in part. In the event of a planned discontinuation of the consumer ShareLync application, ShareLync will provide not less than ninety (90) days' advance notice by in-app banner and email (to users with a registered email address), and during the notice period will make a data export tool available so that users may take their data with them. In the event of discontinuation of the Hub Owner Subscription, ShareLync will provide not less than ninety (90) days' advance notice and will pro-rate refunds of pre-paid annual fees.
20.4 Maintenance windows. ShareLync may, from time to time, temporarily suspend access to the Service for scheduled maintenance, security patching, or emergency intervention. Where practicable, ShareLync will notify users in advance. Maintenance windows do not give rise to a refund or any other remedy except to the extent expressly stated in a written service-level addendum.
21. Force Majeure
Neither party shall be liable to the other for any failure or delay in performing its obligations under these Terms (other than an obligation to pay money owed) where such failure or delay results from any cause beyond that party's reasonable control, including but not limited to acts of God, acts of war or terrorism, civil disturbance, pandemic, epidemic, government order, embargo, denial-of-service or other cyber attack, failure of telecommunications or internet infrastructure, failure of a third-party cloud or payment service provider, power failure, fire, flood, earthquake, or labour dispute. The affected party shall promptly notify the other and shall use commercially reasonable efforts to resume performance.
22. Notices, Assignment & Waiver
22.1 Notices to you. ShareLync may give notice to you under these Terms by email to the address you have registered with your account, by in-product notification, or by posting a prominent notice on the relevant ShareLync website. Notice is deemed received on the day of sending if sent by email to an address you have not informed us is no longer in use, or on the day the notification is rendered in-product.
22.2 Notices to ShareLync. Any formal notice to ShareLync under these Terms (including notices of breach, termination, or legal claims) must be sent by email to admin@sharelync.app with a clear subject line identifying the nature of the notice (e.g., “Notice of breach”). Informal queries and support requests may be sent to contact@sharelync.app.
22.3 Assignment. You may not assign, sub-license, or otherwise transfer any rights or obligations under these Terms without ShareLync's prior written consent. ShareLync may assign these Terms (in whole or in part) without your consent in connection with a sale or transfer of all or substantially all of its business or assets, or to an affiliate, or in any other case with prior notice to you (in which event you may, if you do not wish to continue under the assigned Terms, terminate by ceasing use of the Service and, if applicable, cancelling your subscription as provided in Section 10.6).
22.4 No waiver. Failure or delay by ShareLync in enforcing any provision of these Terms shall not constitute a waiver of that provision, nor of any other provision, and shall not preclude later enforcement.
22.5 No third-party beneficiaries. Except as expressly stated in these Terms, no person who is not a party to these Terms shall have any right (whether under the Indian Contract Act, 1872 or otherwise) to enforce any provision of these Terms.
